OpenAI Submits Confidential S-1 Filing to SEC for 2026 IPO Debut
OpenAI confidentially submitted a draft S-1 registration statement to the Securities and Exchange Commission on May 22, 2026, marking a concrete step toward becoming a publicly traded company. The company publicly acknowledged the filing on June 8.
The AI developer is targeting a public listing by September 2026, according to reports from multiple outlets including Robo Rhythms and Enterprisedna, which both cited the confidential filing documents. Goldman Sachs and Morgan Stanley are acting as the lead underwriters for the offering.
OpenAI’s valuation is currently estimated between $730 billion and $852 billion, based on private secondary-market transactions and analyst assessments rather than official IPO pricing. The S-1 remains confidential, meaning audited financials and the company’s precise valuation range are not yet public.
Despite the filing, OpenAI has cautioned that it has not decided on final IPO timing and that a listing “may be a while,” per a statement reported by Tech Insider.
